These terms govern your use of the Niran Tech website and the provision of our AI integration services. We have written them to be clear and fair.
Please read these Terms & Conditions carefully before using our website or engaging our services. By accessing this website or entering into a service agreement with Niran Tech, you agree to be bound by these terms. If you do not agree, please refrain from using the website or engaging our services.
1. Definitions
In these Terms & Conditions:
- "Company", "we", "us", "our" refers to Niran Tech Co., Ltd., registered in Thailand at 113 Charoen Krung Road, Bang Rak, Bangkok 10500.
- "Client", "you", "your" refers to any individual or organisation accessing this website or entering into a service agreement with the Company.
- "Services" means the AI integration and pipeline engineering services described on this website, including the Flow Review, Pipeline Build, and Steady Support offerings.
- "Engagement" means a specific, agreed scope of work confirmed in writing between the Company and a Client.
- "Website" means the website accessible at the domain registered to Niran Tech Co., Ltd.
2. Use of This Website
This website is provided for informational purposes. You may use it to learn about our services and to contact us. You agree not to:
- Use the website in a manner that violates any applicable law or regulation in Thailand or elsewhere.
- Attempt to gain unauthorised access to any part of the website or its underlying systems.
- Transmit any content that is harmful, misleading, or technically disruptive.
- Reproduce, republish, or redistribute content from this website without our written permission.
We reserve the right to restrict access to the website, or to remove content, at our discretion and without prior notice.
3. Our Services
We offer three principal service lines: the Flow Review (a technical assessment of AI integration possibilities), the Pipeline Build (engineering and delivery of an AI data integration), and Steady Support (ongoing maintenance and incremental extension of live integrations).
Descriptions on this website represent a general overview. The precise scope, deliverables, timelines, and pricing for any Engagement will be agreed and documented in a separate written agreement before work commences.
We do not make any claims about outcomes that cannot be demonstrated in practice, and we encourage Clients to ask questions and consider options at their own pace before committing to any Engagement.
4. Engagements and Scope
An Engagement begins when both parties have signed or confirmed in writing an agreed scope of work, timeline, and fee. Work will not commence, and no binding obligation arises on either party, until such confirmation is in place.
Any request to extend or modify the scope of an Engagement — including additional systems, integrations, or features beyond the original agreement — will be discussed and documented as a separate arrangement before the additional work begins.
We will make reasonable efforts to meet agreed timelines. Where delays arise due to factors outside our control (including third-party API changes, Client-side access or feedback delays, or force majeure events), timelines will be revised by mutual agreement.
5. Payment Terms
Payment terms are specified in each individual service agreement. General guidelines are as follows:
- A deposit is typically required before work commences on a Pipeline Build engagement.
- Steady Support fees are invoiced monthly in advance.
- Flow Review fees are payable upon delivery of the written options report.
- Invoices are issued in Thai Baht (฿) and are payable within 14 calendar days of the invoice date unless otherwise agreed.
We reserve the right to pause work on an active Engagement where invoices are significantly overdue, and will communicate promptly if this situation arises. We prefer to resolve payment questions through direct discussion rather than escalation.
6. Intellectual Property
Upon full payment for a completed Engagement, the Client is granted ownership of the specific integration code, configuration, and documentation delivered as part of that Engagement.
Niran Tech retains ownership of any pre-existing tools, frameworks, methodologies, or internal libraries used in the delivery of Services. Where such materials are incorporated into a Client deliverable, the Client receives a non-exclusive licence to use them in connection with the delivered integration.
All content on this website — including text, graphics, logos, and design elements — remains the intellectual property of Niran Tech Co., Ltd. and may not be used without written consent.
7. Confidentiality
Both parties agree to treat as confidential any non-public information shared during or in connection with an Engagement, including technical specifications, business processes, and pricing details. This obligation persists for two years following the conclusion of an Engagement.
Confidentiality obligations do not apply to information that is publicly available, independently developed, or required to be disclosed by applicable law.
8. Limitation of Liability
We take care in our work and stand behind the quality of what we deliver. However, to the extent permitted by Thai law:
- Our aggregate liability for any claim arising from or relating to an Engagement shall not exceed the total fees paid by the Client for that Engagement.
- We are not liable for indirect losses, including loss of profit, loss of data, or business interruption, unless caused by our negligence or wilful misconduct.
- We are not responsible for the performance, availability, or changes in third-party AI services or APIs that form part of an integration. Where a third-party service changes in a way that affects a delivered integration, any remediation work will be scoped and agreed separately.
Nothing in these terms limits liability for death or personal injury caused by negligence, or for fraud.
9. Termination
Either party may terminate an ongoing Engagement by giving 30 days' written notice. In the event of early termination:
- The Client is responsible for payment of all work completed up to the termination date.
- We will deliver all completed work and documentation to the Client in an organised, usable format.
- Steady Support agreements may be terminated with one month's notice at the end of any billing period.
Either party may terminate immediately where the other party is in material breach of the service agreement and fails to remedy that breach within 14 days of written notice.
10. Governing Law
These Terms & Conditions and any service agreement between Niran Tech and a Client are governed by the laws of the Kingdom of Thailand. Any dispute that cannot be resolved through good-faith discussion will be subject to the jurisdiction of the Thai courts.
We prefer to resolve disagreements through direct conversation and believe most issues can be addressed this way.
11. Changes to These Terms
We may update these Terms & Conditions from time to time. The current version is always accessible on this page. The "Last reviewed" date at the top indicates when the most recent revision was made.
For clients with active Engagements, changes to terms will not affect the existing service agreement in place at the time the Engagement was confirmed.
